4.1 You are an independent professional contracting on your own account. These Terms do not create an employment relationship, agency, partnership, joint venture, franchise or fiduciary relationship between you and Thrive.

4.6 You must not hold yourself out as an employee, agent, partner or representative of Thrive, and must not enter into any commitment on our behalf.
4.7 You agree to indemnify Thrive in full against any claim, assessment, fine or liability arising from a determination that your relationship with Thrive was other than as described in this Section, or from your failure to hold any required permit or licence.
5.1 To register you must be at least 18 years old, have full legal capacity, and be lawfully entitled to provide the Services you list.
5.2 You must hold and maintain every qualification, certification, registration, licence and approval required to provide your Services lawfully, in each discipline you offer and in each jurisdiction in which you operate. You are solely responsible for identifying what those requirements are, for meeting them, and for keeping them current.
5.2A Thrive may specify from time to time the credentials, evidence and standards it requires for particular disciplines, and may add to, vary or withdraw those requirements at its discretion and without notice. Meeting Thrive's requirements does not reduce or replace your obligation under clause 5.2.
5.3 You must supply accurate copies of your certifications, identity documents, licences and insurance on request, and must notify us without delay if any credential expires, lapses, is suspended, is revoked, or becomes subject to investigation or disciplinary action. You must not continue to offer any Service for which you no longer hold the required credential.
5.4 Our review is administrative only. It is based on the declarations and documents you supply. We do not audit them, validate them with issuing bodies, or continuously monitor your credentials, and our acceptance of your application is not a certification, endorsement or warranty of your competence. You remain solely responsible for the accuracy and completeness of everything you submit, and for your continued eligibility to practise.
5.5 You must disclose any current or previous criminal conviction, professional disciplinary finding, safeguarding allegation, or civil claim relating to your professional conduct. Non-disclosure is a material breach.
5.6 We may re-verify you at any time and may suspend your account pending re-verification.
6.1 Your account is personal to you. You must not share, sell, transfer, licence or allow another person to use it.
6.2 Where your business employs or engages other practitioners, each individual must hold their own Expert account unless we have expressly agreed a team or facility arrangement in writing.
6.3 You are responsible for the security of your credentials and for all activity under your account, including all Client communications and all programmes issued.
6.4 Your profile must be accurate, current and truthful. You must not misstate qualifications, experience, results, affiliations or specialisms.
7.1 You will provide Services with the reasonable skill, care and diligence expected of a competent professional in your discipline, and in accordance with all applicable laws, regulations, professional codes of conduct and health authority requirements.
(a) screen every Client for health risk before commencing Services, using an appropriate health questionnaire (such as a PAR-Q or equivalent), and record the outcome;
(b) obtain informed consent before commencing Services, and separately before any hands-on assessment, manual technique, physical adjustment or body-composition measurement;

8.1 You must work strictly within the scope of your qualifications and licence. You must not:
(a) diagnose, treat or claim to cure any medical condition, injury, disease or disorder;
(b) prescribe, supply, recommend or facilitate access to prescription medication, anabolic steroids, peptides, performance-enhancing substances or any controlled substance;

(g) make any claim that a programme, plan or product prevents, treats or cures illness;
(h) prescribe extreme caloric restriction, or knowingly support disordered eating behaviour, or continue with a Client presenting signs of an eating disorder without referring them to appropriate clinical support.
8.2 You must not market yourself using medical, clinical or therapeutic terminology unless you hold the corresponding licence.
8.3 Breach of this Section is a material breach and will result in immediate suspension pending investigation.
9.1 You are solely and exclusively responsible for the Services you provide, including their design, safety, suitability, delivery, supervision and outcome, and for all advice, programmes, plans and content you give to any Client.
9.2 Thrive has no responsibility for, and gives no warranty in respect of, any Service. Thrive does not review, approve or supervise Expert Content, does not check the appropriateness of any programme for any Client, and does not monitor Sessions.
9.3 Any claim by a Client arising from the Services is your claim to answer. You will handle it at your own cost and will not name, join or seek contribution from Thrive.
9.4 You acknowledge that any tool provided by Thrive, including the exercise library, programme builder, nutrition database and tracking features, is a convenience tool only. Content and data within those tools may be incomplete or inaccurate. You must apply your own professional judgement to everything you issue to a Client, and you remain fully responsible for it regardless of the tool used to produce it.
10.1 Through the Platform you will access personal data about Clients, including sensitive health data. You must treat all such data as strictly confidential.
10.2 You will process Client personal data only for the purpose of delivering Services to that Client, and in accordance with UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data and any other applicable data protection law.
(a) disclose, sell, share, publish or transfer Client data to any third party;
(b) use Client data for marketing unrelated to your Services without that Client's consent;
(c) export or retain Client data beyond what is necessary for your professional record-keeping obligations;
(d) publish any Client photograph, measurement, result, testimonial, before-and-after image or personal detail without that Client's separate, express, written and revocable consent, retained by you as evidence.
10.4 You must implement appropriate security measures, must not access the Platform from an unsecured shared device, and must notify us at experts@mythrive.ae within 24 hours of becoming aware of any actual or suspected data breach involving Client data.
10.5 Where Thrive acts as controller and you act as an independent controller in respect of the same data, each party is responsible for its own compliance. Where we agree in writing that you process data on our behalf, the Data Processing Addendum at www.mythrive.ae applies.
10.6 These obligations survive termination.
11.1 Thrive holds Experts to a higher standard than Users because of the position of trust you occupy. The following applies to all conduct on the Platform and in any interaction arising from it, whether in person, online or off-platform.
11.2 Harassment and misconduct — zero tolerance. You must not:
(a) harass, bully, intimidate, threaten, stalk or abuse any Client, User, other Expert or member of Thrive staff;
(b) initiate or pursue any romantic or sexual relationship with a Client during the professional relationship, or make any sexual remark, advance, proposition, joke or request;
(c) send unsolicited intimate images or messages, or request them;
(d) make comments about a Client's body beyond what is professionally necessary and objectively delivered;
(e) touch a Client without prior explicit consent, or continue contact after consent is withdrawn; consent must be sought for each new type of contact and may be withdrawn at any time;
(f) discriminate against or refuse service to any person on the basis of race, nationality, ethnicity, religion, gender, gender identity, sexual orientation, disability, body size, age, marital status or any other protected characteristic;
(g) engage in body-shaming, shame-based motivation, or coercive or degrading training practices;
(h) exploit the professional relationship for financial, personal or sexual advantage;
(i) share, publish or threaten to publish a Client's private information, images, health data or communications.
11.3 Safeguarding. If you work with any Client under 18 or with any vulnerable adult you must: hold the appropriate clearance and qualification; obtain written consent from a parent or legal guardian; ensure a parent, guardian or appropriate chaperone is present or that the session is conducted in an open, observable setting; never communicate privately with a minor outside monitored Platform channels; and never train a minor at a private residence unaccompanied.
11.4 Private and residential Sessions. Where you deliver Services at a private residence or non-public venue you accept full responsibility for the arrangement. We recommend written pre-agreement of scope, a shared arrival and departure record, and refusal of any arrangement in which you or the Client would be unsafe.
(a) solicit Clients for services unrelated to your listed disciplines, or recruit Users or Experts to a competing platform;
(b) sell, promote or supply supplements, devices or products in breach of UAE law, or make unlawful health claims about them;
(c) offer any illegal, sexual or adult service;
(d) manipulate reviews, ratings, rankings, search results or booking volumes, including through fake accounts, incentivised reviews or self-booking;
(e) post content that is defamatory, obscene, violent, discriminatory, or that offends public morals or the religious and cultural values protected under UAE law;
(f) scrape, reverse engineer, decompile, copy, resell or attempt to replicate the Platform, the exercise library or any Thrive database;
(g) misrepresent your qualifications, experience, results or affiliation with Thrive or any third party.
11.6 Reporting and consequences. Report concerns to experts@mythrive.ae. We may investigate, request information, restrict features, remove Content, withhold payouts pending investigation, suspend or permanently deactivate your account, and report matters to the police or a regulator. Findings of sexual misconduct, violence, exploitation, safeguarding breach or credential fraud will result in permanent removal.
11.7 We are not obliged to monitor conduct or Content, and our decision not to act in one case does not waive our right to act in another.
12.1 Access to Platform functionality may be offered through Subscription plans, which may include:
(a) Thrive Manage — access to Management Tools;
(b) Thrive Connect — access to Marketplace listing and bookings, when available;
(c) Thrive Elite — combined access;
(d) Thrive Pro — an add-on reducing applicable Commission.
12.2 Current plan names, inclusions, prices and Commission rates are set out in the Fee Schedule. The Fee Schedule forms part of these Terms. Plan structure and naming may change.
12.3 Subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time with effect from the end of the current billing period. Fees already paid are non-refundable except where required by law.
12.4 We may change Subscription prices, plan inclusions or Commission rates on not less than thirty (30) days' notice. Changes take effect at your next renewal or, for Commission, on the stated effective date. If you do not accept a change, your remedy is to cancel before it takes effect.
12.5 Promotional pricing, founding partner terms, free periods and introductory Commission rates are offered at our discretion, apply only for the stated period, and may be withdrawn or varied for future periods.
12.6 If payment fails we may suspend access to paid functionality until the account is brought current.
13.1 Where a Client pays for Services through the Platform, Thrive collects the payment as your limited collection agent. Payment by a Client to Thrive discharges that Client's payment obligation to you.
13.2 We deduct the applicable Commission and any payment processing fee, and remit the balance to you.
13.3 Commission rates are set out in the Fee Schedule and may differ by plan, by discipline, by whether the booking is a first or repeat booking with that Client, and by any applicable cap or founding partner arrangement.
13.4 Payouts are made to your connected payout account through our payment processor (currently Stripe Connect) on a weekly cycle, subject to a minimum payout threshold of AED 100 and to the processor's own timelines and requirements. You must complete the processor's onboarding, identity and anti-money-laundering checks. Delays caused by incomplete or inaccurate payout details are your responsibility.
13.5 By using payout services you also agree to the payment processor's terms. Thrive is not a bank, does not hold funds as a deposit, and does not pay interest on any amount held.
13.6 We may withhold, delay, offset or reverse a payout where: a Client dispute or chargeback is pending; we are investigating a suspected breach of these Terms, fraud or misconduct; a refund is due; you owe us any amount; or we are required to do so by law or by our payment processor.
13.7 Chargebacks. Where a Client successfully charges back a payment, the amount, together with any processing fee, is your liability and may be recovered from future payouts or invoiced to you directly.
13.8 All amounts are stated exclusive of VAT unless otherwise indicated. You are responsible for issuing any tax invoice required to your Clients and for accounting for VAT on your Services. Thrive will issue you a tax invoice for its Commission and Subscription fees.
13.9 You must raise any query about a payout or deduction within thirty (30) days of the relevant statement, after which the statement is deemed accepted.
14.1 Your notice period: 48 hours. If you need to cancel a confirmed Booking you must give the Client at least 48 hours' notice through the Platform.
14.2 Where you cancel less than 48 hours before the scheduled start time, or fail to attend, you will not be paid for that Session, any amount the Client has paid for it will be credited to the Client as Points, and the cost is borne by you. Where the Client has already been paid out to you, the amount may be deducted from current or future payouts.
14.3 Client notice period: 24 hours. Clients may cancel a confirmed Booking free of charge with at least 24 hours' notice. Where a Client cancels less than 24 hours before the start time, or does not attend, the Session may be charged in full and you will be paid for it in the ordinary way.
14.4 Rescheduling. A Session may be moved to a new date or time at any point by mutual agreement between you and the Client, arranged through the Platform. A Session rescheduled by agreement is not treated as a cancellation by either party and attracts no penalty.
14.5 Clients may change Expert at any time. Clients are not tied to any Expert and may move to a different Expert at any time, for any reason or none. Where a Client has prepaid for Sessions you have not yet delivered, the undelivered value is credited to that Client as Points and you have no claim to it. You have no entitlement to any future or anticipated earnings from any Client.
14.6 Thrive does not offer refunds. Amounts paid by Clients are non-refundable, and Thrive reverses a charge only in exceptional circumstances and entirely at its discretion. Any reversal is issued to the Client as in-app Points, which are not cash and are not withdrawable.
14.7 Where a reversal arises from your act or omission, including your late cancellation, non-attendance or failure to deliver the Service as described, it is funded from your earnings and may be deducted from current or future payouts.
14.8 Our determination. Where you and a Client cannot agree, we may make a final determination on the matter. Our determination is made in good faith on the information available, is binding for the purposes of the Platform's payment flow, and does not affect either party's rights at law.
14.9 Repeated cancellations, no-shows or reversal events may result in reduced visibility, restriction of features, withholding of payouts, or removal from the Platform.
15.1 Where the Marketplace is available, we may display your profile, disciplines, pricing, availability, ratings and reviews to Users.
15.2 Search results, ranking, featuring, promotion and recommendation are determined by Thrive using criteria we set and may change, which may include responsiveness, completeness of profile, ratings, cancellation rate, booking volume, plan tier and compliance history. We give no guarantee of placement, visibility or volume.
15.3 We may promote your profile and Expert Content in Thrive marketing, on our website, and on our social channels, using the licence in Section 16. You may withdraw consent to being featured in external paid advertising by written notice, effective within thirty (30) days.
15.4 Reviews left by Clients are their own statements. We may remove reviews that breach our standards but are not obliged to, and we do not adopt or endorse them. We will not remove a review merely because it is unfavourable.
16.1 Your content stays yours. You retain ownership of Expert Content you create.
16.2 You grant Thrive a worldwide, non-exclusive, royalty-free, transferable, sub-licensable licence to host, store, reproduce, adapt, format, display, distribute and communicate your Expert Content for the purposes of operating, promoting and improving the Platform, and of marketing the Platform. This licence continues for Content that remains in a Client's account or in Platform archives after your account closes, and otherwise terminates on removal of the Content.
16.3 You warrant that you own or have all rights necessary to grant this licence, and that your Expert Content does not infringe any third party's copyright, trade mark, image rights or other rights. Content copied from another coach, brand, publication or platform is a material breach.
16.4 Thrive's property. The Platform, the Thrive name and marks, all software, design and databases, and the Thrive exercise library are owned by or licensed to Thrive. You are granted a limited, revocable, non-exclusive, non-transferable licence to use them solely within the Platform for the purpose of delivering Services to your Clients. You must not extract, export, copy, resell, republish or use the exercise library or any Thrive database outside the Platform.
16.5 Brand use. You may describe yourself as being available on Thrive. You may use Thrive brand assets only in accordance with our brand guidelines and only as we permit. You must not alter the logo, use it in sub-brand colours, imply partnership or endorsement beyond your listing, or register any confusingly similar mark or handle.
16.6 Feedback you give us about the Platform may be used by us freely and without obligation or compensation.
17.1 Where a Client is introduced to you through the Thrive Marketplace, you must not for a period of twelve (12) months from your last Booking with that Client arrange, deliver or accept payment for Services with them outside the Platform for the purpose of avoiding Commission.
17.2 This restriction does not apply to Clients you brought onto the Platform yourself, or to Clients you had an existing relationship with before your first Platform Booking with them. Those relationships remain yours, and you may take them off the Platform at any time.
17.3 You must not use the Platform to solicit Users, Clients or other Experts to a competing platform.
17.4 Where we reasonably determine that you have circumvented the Platform, we may recover the Commission that would have applied, suspend or terminate your account, and withhold payouts to the extent of the amount owed.
18.1 The Platform integrates third-party services including payment processing, nutrition databases, wearable and health integrations, video hosting, messaging and analytics. These are governed by their own terms.
18.2 We do not warrant the accuracy, availability, security or continuity of any third-party service and are not liable for it. Third-party data, including nutritional values, may be inaccurate or incomplete, and you must exercise professional judgement before relying on it.
19.1 We do not guarantee uninterrupted or error-free availability of the Platform, and may suspend it for maintenance, security or business reasons.
19.2 You are responsible for maintaining your own records of your business and Clients independently of the Platform. Do not rely on the Platform as your sole record system.
19.3 We may change, add or remove features at any time. Where a change materially reduces core functionality you rely on, we will give reasonable notice where practicable.
20.1 You may terminate at any time by cancelling your Subscription and closing your account, subject to completing or properly cancelling any confirmed Bookings.
20.2 We may suspend your account immediately and without notice where we reasonably believe: you have breached these Terms; your credentials have lapsed or are false; a Client or third party has raised a safety, safeguarding, harassment or misconduct allegation against you; there is suspected fraud; or your continued presence poses a risk to any person or to the Platform.
20.3 We may terminate your account: immediately for material breach; on thirty (30) days' notice for convenience; or where required by law.
20.4 On suspension, we may pause your listing, cancel or reassign upcoming Bookings, notify affected Clients that you are unavailable, and hold payouts pending the outcome of an investigation.
20.5 On termination, you must complete or properly cancel outstanding Bookings and refund or make good any prepaid Services. We will make a final payout, less any amount owed to us, once all Client disputes and chargeback windows have closed.
20.6 Data on exit. We will make your Client list and your own Expert Content available for export in a commonly used format for thirty (30) days after termination, subject to Client consent where required by data protection law. After that period we may delete your Expert Content, subject to our retention obligations and to Content already delivered into Client accounts.
20.7 We may notify your active Clients of your departure in factual, neutral terms.
20.8 Sections 4.7, 9, 10, 13.6 to 13.9, 16.2, 16.4, 17, 21, 22, 23, 24 and 25 survive termination.
21.1 You must hold and maintain, at your own cost and for the duration of your use of the Platform:
(a) professional indemnity insurance appropriate to your discipline, with cover of not less than AED 1,000,000;
(b) public liability insurance with cover of not less than AED 1,000,000.
21.2 You must provide evidence of cover on request and must notify us immediately if cover lapses or is cancelled.
21.3 Thrive provides no insurance to you. No Thrive policy extends to you, your Services, your Clients, your equipment or any venue you use. You are not covered by any Thrive policy in any circumstance.
22.1 You agree to indemnify, defend and hold harmless Thrive, its shareholders, directors, officers, employees and agents from and against all claims, demands, proceedings, liabilities, damages, losses, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with:
(a) the Services you provide, including any injury, illness, aggravation of condition, disability or death sustained by any Client or third party;
(b) any advice, programme, plan, nutritional guidance or Content you supply;
(c) your breach of these Terms, of any applicable law, of any professional code, or of any data protection obligation;
(d) any misrepresentation as to your qualifications, licensing, insurance or experience;
(e) any allegation of harassment, misconduct, discrimination, safeguarding failure or negligence against you;
(f) any claim by a tax, immigration, labour or regulatory authority arising from your status, permits or tax affairs;
(g) any third-party intellectual property claim relating to your Expert Content;
(h) any Client refund, chargeback or dispute attributable to your act or omission.
22.2 This indemnity is uncapped and survives termination.
22.3 You will not settle any claim in a way that imposes an obligation or admission on Thrive without our prior written consent.
23.1 The Platform is provided "as is" and "as available". To the maximum extent permitted by law we disclaim all warranties, express, implied or statutory, including as to merchantability, fitness for a particular purpose, accuracy, non-infringement, availability and uninterrupted operation.
23.2 We give no warranty or representation as to: the volume, quality, reliability, conduct, solvency or honesty of any Client; the level of bookings, income or growth you will achieve; the accuracy of any data, database, exercise entry, nutritional value or tracked metric; or the continued availability of any feature.
23.3 To the maximum extent permitted by law, Thrive shall have no liability to you for:
(a) loss of profit, revenue, income, business, clients, opportunity, goodwill, reputation or anticipated savings;
(b) any indirect, incidental, special, consequential, exemplary or punitive damages;
(c) any act, omission, non-payment, dispute, claim or misconduct of any Client or third party;
(d) any loss arising from Platform downtime, data loss, feature change, ranking change, or removal of your listing;
(e) any loss arising from a third-party service, including a payment processor, wearable integration or nutrition database;
(f) any injury, claim or liability arising from the Services you provide.
23.4 Aggregate cap. Where liability cannot lawfully be excluded, Thrive's total aggregate liability to you for all claims arising out of or relating to these Terms, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the greater of (a) the total Subscription fees and Commission actually received and retained by Thrive from you in the three (3) months immediately preceding the event giving rise to the claim, or (b) AED 500 (five hundred UAE dirhams).
23.5 Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or for death or personal injury caused by our own gross negligence or wilful misconduct, to the extent such exclusion is prohibited by UAE law.
23.6 You acknowledge that this allocation of risk is a fundamental basis of the commercial arrangement between us and is reflected in the Commission and Subscription pricing.
24.1 These Terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah.
24.2 Before commencing proceedings you agree to contact us at experts@mythrive.ae and to attempt in good faith to resolve the matter for a period of not less than thirty (30) days.
24.3 If unresolved, the courts of Sharjah, United Arab Emirates shall have exclusive jurisdiction.
24.4 To the extent permitted by law, claims must be brought individually and not as part of any collective or representative proceeding.
25.1 Entire agreement. These Terms, the Fee Schedule, the Privacy Policy and any policies referenced here constitute the entire agreement between you and Thrive.
25.2 Severability. If any provision is held invalid, it shall be modified to the minimum extent necessary or severed, and the remainder continues in force.
25.3 No waiver. Failure to enforce a provision is not a waiver of it.
