A quick summary only. The full terms below are what apply.

1About these terms

1.1 These Terms and Conditions ("Terms") form a legally binding agreement between you ("you", "your", "User") and Thrive App LLC, a limited liability company incorporated in the United Arab Emirates ("Thrive", "we", "us", "our").

1.2 These Terms govern your access to and use of the Thrive mobile application, any Thrive website, and all related features, content and services (together, the "Platform").

1.3 By downloading, accessing, registering for or using the Platform, you agree to be bound by these Terms, our Privacy Policy, and any additional policies, community standards or guidelines we publish and reference here. If you do not agree, do not use the Platform.

1.4 We may update these Terms from time to time. Where changes are material we will give you reasonable notice through the Platform or by email before they take effect. Continued use of the Platform after the effective date constitutes acceptance. If you do not accept the revised Terms, you must stop using the Platform and may close your account.

1.5 Separate terms apply to Experts. Nothing in the Expert terms creates any right in your favour, and nothing in these Terms creates any right in favour of an Expert.

"User Content" means any Content you submit, upload, post or transmit through the Platform, including your profile, photos, measurements, logs, messages and reviews.

3What Thrive is, and what Thrive is not

3.1 We are a technology platform and intermediary. Thrive provides software that (a) allows Experts to manage their clients, build programmes and run their business, and (b) allows Users to discover, connect with, book and communicate with Experts. That is the entirety of what we provide.

3.2 We do not provide the Services. All Services are provided by Experts acting as independent professionals in their own name and on their own account. Experts are not employees, agents, partners, representatives or contractors of Thrive. Thrive does not supervise, direct, control, schedule or manage the Services, does not set the content of any programme, and does not deliver any training, coaching, nutrition, therapy or treatment of any kind.

3.3 We are not a party to your contract with an Expert. When you book a Session, a direct contractual relationship is formed between you and that Expert. Thrive facilitates introduction, communication, scheduling and payment processing only. Any dispute regarding the quality, safety, suitability, timing, delivery or outcome of Services is a matter between you and the Expert.

3.4 We are not a medical provider, healthcare facility, clinic, insurer or employment agency, and we are not licensed as any of these. We do not provide medical, psychological, physiotherapeutic, dietetic or clinical services.

3.5 Onboarding review. Every Expert completes an onboarding review before they can offer Services on Thrive. As part of that review, Experts declare their qualifications and provide supporting documents, and they undertake to hold and maintain everything required to practise lawfully in their discipline.

3.6 What that review is, and is not. The review is administrative. It is carried out at the point of onboarding, on the basis of the declarations and documents the Expert supplies. Thrive does not independently audit or continuously monitor any credential, does not conduct criminal background checks unless expressly stated, and does not warrant the competence, professionalism, character, honesty or suitability of any Expert. Listing, badging, ranking or featuring an Expert is not a recommendation, endorsement, guarantee or certification by Thrive. You remain responsible for satisfying yourself that an Expert is right for you.

3.7 Feature availability. Some functionality described in marketing materials, including the Marketplace, may be released in phases and may not be available at the time you register. We are not obliged to release any particular feature, and we may add, modify, suspend or withdraw any feature at any time.

4Eligibility

4.1 You must be at least 18 years old to create an account and use the Platform.

4.2 If you are between 16 and 18 years old you may only use the Platform with the verifiable consent and continuous supervision of a parent or legal guardian, who must register the account, accept these Terms on your behalf and remain responsible for all activity on the account and for all payments. Certain features, including in-person Session bookings, may be restricted or unavailable. We may require evidence of guardian consent at any time.

4.3 The Platform is not intended for and must not be used by anyone under 16.

4.4 You must have the legal capacity to enter into a binding contract and must not be barred from using the Platform under the laws of the UAE or any other applicable jurisdiction.

4.5 You must not create an account if we have previously suspended or removed you from the Platform.

5Your account

5.1 You must provide accurate, current and complete information when registering and must keep it up to date.

5.2 You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at ask@mythrive.ae if you suspect unauthorised access.

5.3 You may not share, sell, transfer or licence your account, and you may not create an account on behalf of another person without their authority.

5.4 One person, one account. We may merge, suspend or remove duplicate accounts.

5.5 We may refuse registration, or suspend or terminate any account, in accordance with Section 24.

6Health, medical and fitness disclaimer

This is one of the most important sections of these Terms.

6.1 Thrive is not a medical app and provides no medical services. No Content on the Platform, whether produced by Thrive or by an Expert, constitutes medical advice, medical diagnosis, medical treatment, physiotherapy prescription, clinical dietetics, psychological therapy or a substitute for consultation with a licensed healthcare professional.

6.2 Consult a doctor first. You should obtain clearance from a qualified physician before beginning, resuming or significantly changing any exercise, nutrition, weight-management, recovery or wellbeing programme. This is especially important if you are pregnant or postpartum, have or have had any cardiovascular, respiratory, metabolic, musculoskeletal, neurological or psychiatric condition, have a history of injury or surgery, are taking any medication, have a disordered eating history, or are over 40 and previously inactive.

6.3 Health screening. Before your first Session you may be asked to complete a health screening questionnaire and to disclose relevant conditions, injuries, allergies, medications and limitations to your Expert. You are solely responsible for the accuracy and completeness of that disclosure and for updating it if your circumstances change. Failure to disclose accurately materially increases your risk and is your responsibility.

6.4 Nutrition information. Nutritional data, calorie counts, macronutrient values and food entries within the Platform may be drawn from third-party databases and from user-generated entries. Such data is provided for general guidance only, may be inaccurate or incomplete, and must not be relied upon for clinical, therapeutic, allergy-management or medical purposes. Thrive does not verify this data. If you have a food allergy, intolerance, eating disorder, diabetes, renal condition or any other condition requiring controlled intake, you must consult a licensed medical professional and must not rely on the Platform.

6.5 Tracking, wearables and estimates. Any metric shown on the Platform, including calories burned, heart rate, sleep, steps, recovery scores, body composition, progress projections and readiness indicators, is an estimate produced by algorithms or third-party devices. It is not a medical measurement, is not diagnostic, and must not be used to make health decisions.

6.6 Stop immediately if you experience pain, dizziness, faintness, chest discomfort, shortness of breath, nausea or any unusual symptom during or after any activity, and seek medical attention. In an emergency, contact emergency services on 998 (ambulance, UAE) or your local emergency number. The Platform is not monitored in real time and must never be used to report a medical emergency.

6.7 No guaranteed outcomes. Results from fitness, nutrition and wellbeing programmes vary between individuals and depend on factors outside our control. Thrive makes no representation, warranty or guarantee as to any physical, aesthetic, performance, weight, health or wellbeing outcome. Any testimonial, before-and-after image or result shown on or through the Platform is illustrative of an individual experience only and is not a promise of a comparable result.

6.8 Scope of practice. Experts must operate strictly within their qualifications. If an Expert offers you a medical diagnosis, prescribes or recommends prescription medication, offers to supply performance-enhancing or controlled substances, advises you to cease prescribed treatment, or otherwise acts beyond their scope, you must stop, disregard the advice, consult a licensed physician and report the Expert to us immediately at ask@mythrive.ae.

7Assumption of risk

7.1 You acknowledge that physical exercise, strength training, high-intensity activity, stretching, yoga, manual therapy, massage, physiotherapy, chiropractic manipulation, dietary change and other wellbeing activities carry inherent risks, including risk of muscle strain, sprain, tear, fracture, dislocation, dehydration, heat illness, hypoglycaemia, aggravation of pre-existing conditions, cardiac events, serious injury, permanent disability and death.

7.2 You voluntarily assume all such risks, whether foreseeable or unforeseeable, arising from your participation in any activity discovered, booked, planned, logged or communicated through the Platform.

7.3 You accept that these risks exist regardless of the care taken by any Expert and regardless of any screening, verification or information provided through the Platform.

7.4 You are solely responsible for exercising judgement about your own physical capability, for the environment in which you train, for the equipment you use, and for deciding whether to follow any advice or programme.

8Bookings and sessions

8.1 Booking availability, pricing, session length, format, location and terms are set by the Expert, not by Thrive.

8.2 A Booking is confirmed only when the Platform issues a confirmation. Thrive does not guarantee the availability of any Expert or Session.

8.3 In-person Sessions. Where you meet an Expert in person, you are responsible for satisfying yourself as to the suitability and safety of the location. Thrive does not own, operate, inspect, insure or control any gym, studio, park, residence, clinic or other venue, and accepts no responsibility for the condition of any premises, equipment or facility, or for the acts or omissions of any venue operator. You must comply with the rules of any venue you attend.

8.4 Personal safety. Use ordinary caution when meeting anyone you have connected with online. Prefer public or professionally operated venues, tell someone where you are going, and end any Session in which you feel unsafe. Report concerns to us immediately and, where a criminal offence may have occurred, to the police (999 in the UAE).

8.5 Home and private Sessions. If you choose to arrange a Session at a private residence or other non-public location, you do so entirely at your own risk and on your own assessment. Thrive strongly discourages this arrangement, does not facilitate or vet it, and disclaims all responsibility for it.

8.6 Recording. You must not photograph, film, screen-record or audio-record any Session, Expert, Expert Content or other User without their prior express consent. Recording or distributing another person without consent may constitute a criminal offence under UAE law.

9Payments

9.1 Prices for Services are set by Experts and are displayed inclusive or exclusive of applicable taxes as indicated at the point of purchase. Value Added Tax at the prevailing UAE rate may apply.

9.2 Payments are processed by our third-party payment processor (currently Stripe, including Stripe Connect). By making a payment you also agree to the payment processor's own terms. Thrive does not store your full card details.

9.3 Where you pay for Services through the Platform, Thrive collects the payment on the Expert's behalf as a limited collection agent and remits the balance to the Expert after deduction of our commission and applicable fees. Payment made through the Platform discharges your payment obligation to the Expert.

9.4 You must not pay an Expert outside the Platform for Services booked or discovered through the Platform. See Section 15.

9.5 You authorise us and our payment processor to charge your selected payment method for all Bookings, subscriptions, fees and charges you incur, including any late-cancellation or no-show fee properly applied under Section 10.

9.6 Currency conversion, foreign transaction and bank fees are your responsibility.

9.7 If a payment fails, is reversed or is charged back, we may suspend your access pending resolution and may recover amounts due, together with reasonable costs of recovery.

10Cancellations, rescheduling and refunds

10.1 If you cancel: 24 hours. You may cancel a confirmed Booking free of charge provided you do so at least 24 hours before the scheduled start time. Where you cancel less than 24 hours before the start time, or do not attend, the Session may be charged in full.

10.2 If your Expert cancels: 48 hours. Experts are required to give at least 48 hours' notice to cancel a confirmed Booking. Where an Expert cancels less than 48 hours before the start time, or does not attend, you will not be charged for that Session, and any amount you have already paid for it will be credited to your account as Points.

10.3 Rescheduling. A Session may be moved to a new date or time at any point by mutual agreement between you and your Expert, arranged through the Platform. A Session rescheduled by agreement is not treated as a cancellation by either party and attracts no charge. If you and your Expert cannot agree on a new time, the notice periods in clauses 10.1 and 10.2 apply as normal.

10.4 Changing Expert. You are never tied to one Expert. You may stop working with an Expert and choose a different one at any time, for any reason or none. Where you have paid in advance for Sessions that have not yet been delivered, the undelivered value is credited to your account as Points, which you may put towards Sessions with another Expert.

10.5 We do not offer refunds. Amounts paid for Sessions, packages and subscriptions are non-refundable. We may, in exceptional circumstances and entirely at our discretion, agree to reverse a charge. Circumstances we may treat as exceptional include an Expert failing to deliver a Session, a duplicate or erroneous charge, a Session that could not proceed for reasons outside both parties' control, or a documented medical or emergency situation preventing attendance. Our decision is final, is made case by case, and does not set a precedent for any other request.

10.6 Any refund is issued as Points. Where we do agree to reverse a charge, the value is credited to your Thrive account as Points. Points are not cash, are not withdrawable, are not transferable and are not redeemable for money. This applies to every refund unless a refund in the original payment form is required by applicable law, in which case we will comply with that law.

10.7 Raising an issue. If a Session is not delivered as described, raise it through the Platform's support channel within 7 days of the scheduled Session. We may facilitate a resolution between you and the Expert, including by adjusting the Expert's payout and crediting you Points. We are not obliged to resolve any dispute, and our involvement is voluntary and without liability.

10.8 We may issue Points as a goodwill gesture at our discretion. Doing so is not an admission of liability and creates no obligation to do so again.

10.9 Purchases made through Apple or Google. Where a purchase is processed by the Apple App Store or Google Play, refunds for that purchase are governed by the relevant store's policies and must be requested from them.

10.10 Nothing in this Section limits any non-excludable right you may have under UAE Federal Law No. 15 of 2020 on Consumer Protection or its implementing regulations.

11Subscriptions

11.1 Certain features may be offered on a subscription basis. Price, billing frequency, included features and any trial terms will be disclosed before purchase.

11.2 Subscriptions renew automatically at the then-current price until cancelled. You may cancel at any time with effect from the end of the current billing period. Cancellation does not entitle you to a refund of the current period unless required by law.

11.3 Where you subscribe through an app store, you must manage and cancel that subscription through your app store account settings. Deleting the app does not cancel a subscription.

11.4 Free trials, where offered, convert to a paid subscription at the end of the trial unless cancelled at least 24 hours before the trial ends.

11.5 We may change subscription prices on not less than thirty (30) days' notice. The change takes effect at your next renewal, and you may cancel before then.

12Your content and reviews

12.1 You retain ownership of your User Content.

12.2 You grant Thrive a worldwide, non-exclusive, royalty-free, sub-licensable licence to host, store, reproduce, adapt, display and distribute your User Content solely for the purposes of operating, securing, improving and promoting the Platform. For any User Content that is health or personal data, this licence is exercised strictly in accordance with our Privacy Policy.

12.3 You warrant that you own or have all necessary rights to your User Content and that it does not infringe any third party's rights or breach any law.

12.4 Reviews and ratings must be based on genuine, first-hand experience, must be honest and must not contain false statements, personal attacks, discriminatory content, medical claims about an Expert, or content posted for the purpose of harming a competitor. We may remove reviews that breach these Terms. We do not undertake to verify reviews and do not adopt or endorse any statement made in them.

12.5 We may remove or restrict access to any User Content that we reasonably consider breaches these Terms, without notice.

13Points and the Rewards Hub

13.1 Points may be earned through the Rewards Hub, issued as refunds under Section 10, or granted as promotional credit.

13.2 Points have no monetary value. They are not currency, not stored value, not a deposit, and not a payment instrument. They cannot be exchanged for cash, withdrawn, transferred to another account or person, sold, or bequeathed.

13.3 Points may only be redeemed for eligible Bookings or items made available within the Platform, subject to availability.

13.4 The Platform does not support wallet top-up. You cannot purchase Points with money.

13.5 Points may expire after twelve (12) months of account inactivity or as otherwise notified. Points are forfeited immediately and without compensation if your account is terminated for breach of these Terms, or if we reasonably determine they were obtained through fraud, abuse, error or manipulation.

13.6 We may vary the earn rate, redemption value, eligibility and structure of the Rewards Hub, or discontinue it, on reasonable notice.

14Acceptable use and community standards

14.1 Thrive is committed to a safe, respectful and inclusive community. The following conduct is prohibited on the Platform and in any interaction arising from it, including in-person Sessions, in-app messaging and off-platform contact with a person you met through Thrive.

14.2 Harassment and abuse — zero tolerance. You must not:

(a) harass, bully, intimidate, threaten, stalk or abuse any Expert, User or member of Thrive staff;

(b) send unsolicited sexual messages, images or propositions; make sexual comments about a person's body; request sexual services; or engage in any form of sexual harassment;

(c) make unwanted physical contact of any kind, or continue physical contact after consent has been withdrawn;

(d) engage in discriminatory conduct or hate speech on the basis of race, nationality, ethnicity, religion, gender, gender identity, sexual orientation, disability, body size, age, marital status or any other protected characteristic;

(e) engage in body-shaming, or promote self-harm, disordered eating, extreme restriction, purging, or unsafe weight-loss practices;

(f) publish, threaten to publish, or distribute another person's private information, images or communications without consent, including any image or recording of a Session;

(g) contact a person who has asked you to stop, or attempt to circumvent a block;

(h) impersonate any person or misrepresent your affiliation with any person or organisation.

14.3 You must not use the Platform to:

(a) solicit or advertise unrelated goods or services, or to recruit Users or Experts to a competing service;

(b) offer, request, promote or facilitate any illegal, sexual or adult service;

(c) offer, request or supply anabolic steroids, performance-enhancing drugs, prescription medication or any controlled substance;

(d) commit fraud, launder money, or make false claims for refunds or Points;

(e) post content that is defamatory, obscene, blasphemous, violent, or that offends public morals or the religious or cultural values protected under UAE law;

(f) upload malware, scrape, reverse engineer, decompile, disrupt, overload or gain unauthorised access to the Platform or its systems;

(g) use automated means to access, copy or extract Platform data;

(h) breach any applicable law of the United Arab Emirates or of any jurisdiction from which you access the Platform.

14.4 Reporting. If you experience or witness prohibited conduct, report it through the in-app reporting function or to ask@mythrive.ae. Reports are handled confidentially so far as reasonably possible. Where conduct may constitute a criminal offence, contact the police on 999. Thrive may cooperate with law enforcement and may disclose relevant information where required or permitted by law.

14.5 Consequences. We may, at our discretion and without liability, issue a warning, remove Content, restrict features, withhold or forfeit Points, cancel Bookings, suspend or permanently terminate your account, and refuse future registration. Conduct involving sexual misconduct, violence, threats, exploitation, or harm to a minor will result in immediate permanent removal and may be referred to the authorities.

14.6 No obligation to monitor. We are not obliged to monitor Content, communications or conduct. Where we do act, we act at our discretion. Our decision not to act in one case does not waive our right to act in another.

15No circumvention

15.1 Where you are introduced to an Expert through the Platform, you must not for a period of twelve (12) months from your last Booking arrange, deliver or pay for Services with that Expert outside the Platform for the purpose of avoiding Thrive's fees.

15.2 Off-platform arrangements are made entirely at your own risk. Thrive provides no payment protection, no dispute support, no record of the transaction, and no recourse of any kind in respect of them.

15.3 Breach of this Section may result in suspension or termination and recovery of fees avoided.

16Third-party services and integrations

16.1 The Platform may integrate with third-party services, including payment processors, nutrition databases, wearable devices and health platforms such as Apple HealthKit, Samsung Health and WHOOP, mapping services and communication tools.

16.2 Integrations operate at your election. Enabling one authorises the exchange of data described at the point of connection and in our Privacy Policy. You may disconnect at any time through your device or Platform settings.

16.3 Third-party services are governed by their own terms and privacy policies. Thrive does not control them, does not warrant their accuracy, availability or security, and is not liable for them.

17Intellectual property

17.1 The Platform, the Thrive name, logo, wordmark, "Train. Nourish. Thrive.", the Thrive exercise library, all software, design, structure, text, graphics and compilations are owned by or licensed to Thrive and are protected by intellectual property laws.

17.2 We grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Platform for your own personal, non-commercial purposes in accordance with these Terms.

17.3 You must not copy, modify, distribute, sell, licence, publicly display, create derivative works from, or commercially exploit any part of the Platform or any Expert Content.

17.4 Expert Content is not yours to redistribute. Programmes, plans, videos and materials supplied to you by an Expert are licensed for your personal use only for the duration of your engagement with that Expert. You must not share, resell, republish or reuse them.

17.5 If you believe Content on the Platform infringes your rights, contact ask@mythrive.ae with details of the work, the location of the infringing material, and your contact information.

18Availability of the Platform

18.1 We aim to keep the Platform available but do not guarantee uninterrupted, timely, secure or error-free operation.

18.2 We may suspend, withdraw or restrict all or part of the Platform for maintenance, upgrade, security or business reasons, with or without notice.

18.3 You are responsible for your own device, operating system, connectivity and data charges, and for maintaining a compatible and updated version of the app.

19Third-party disputes and release

19.1 Any dispute, claim, complaint, injury or loss arising from your interaction with an Expert, another User or any third party is between you and that person. Thrive is not a party to it.

19.2 To the maximum extent permitted by applicable law, you release Thrive, its shareholders, directors, officers, employees and agents from all claims, demands, damages, losses and liabilities of every kind, known and unknown, arising out of or connected with any such dispute, including any injury sustained during or in connection with a Session.

19.3 We may, but are not obliged to, assist in resolving disputes. Any assistance is provided as a goodwill gesture, does not constitute an assumption of responsibility, and does not make us a party to the dispute.

20Disclaimer of warranties

20.1 To the maximum extent permitted by applicable law, the Platform and all Content are provided "as is" and "as available", without warranty of any kind, whether express, implied or statutory.

20.2 We specifically disclaim any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, reliability, security or availability.

20.3 Without limiting the above, we do not warrant that:

(a) any Expert is qualified, competent, insured, licensed, safe, honest or suitable for you;

(b) any Service will be delivered, will be of any particular standard, or will produce any particular result;

(c) any Content, plan, nutritional value, calorie figure or tracked metric is accurate, complete or appropriate for you;

(d) the Platform will be free of errors, defects, viruses or interruptions;

(e) any information provided by another User or by an Expert is truthful.

20.4 No advice or information obtained from Thrive creates any warranty not expressly stated in these Terms.

21Limitation of liability

21.1 To the maximum extent permitted by applicable law, Thrive shall have no liability whatsoever for:

(a) any personal injury, illness, aggravation of a condition, disability or death arising from your participation in any activity discovered, booked, planned or logged through the Platform;

(b) any act, omission, negligence, misconduct, misrepresentation, breach of contract or unlawful conduct of any Expert, User, venue or third party;

(c) the quality, safety, legality, suitability or delivery of any Service;

(d) the accuracy or completeness of any Expert Content, nutritional data, tracked metric or third-party information;

(e) any loss or damage arising from a meeting, communication or transaction between you and any other person, whether on or off the Platform;

(f) any loss arising from your failure to disclose a medical condition, or from your reliance on the Platform in place of professional medical advice;

(g) any loss arising from unauthorised access to your account resulting from your failure to keep credentials secure.

21.2 In no event shall Thrive be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, opportunity, goodwill, data or anticipated savings, however arising and whether or not foreseeable.

21.3 Aggregate cap. Where liability cannot lawfully be excluded, Thrive's total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform, whether in contract, tort (including negligence), statute or otherwise, shall not exceed the greater of (a) the total fees actually received and retained by Thrive from you in the three (3) months immediately preceding the event giving rise to the claim, or (b) AED 500 (five hundred UAE dirhams).

21.4 Each provision of this Section operates separately. If any part is held unenforceable, the remainder continues in full force.

21.5 Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by our own gross negligence or wilful misconduct, to the extent such exclusion is prohibited by UAE law.

21.6 You acknowledge that the allocation of risk in this Section is a fundamental basis of the bargain between us and is reflected in the pricing of the Platform.

22Indemnity

22.1 You agree to indemnify, defend and hold harmless Thrive, its shareholders, directors, officers, employees, agents and licensors from and against all claims, demands, proceedings, liabilities, damages, losses, fines, penalties, costs and expenses (including reasonable legal fees) arising out of or in connection with:

(a) your use or misuse of the Platform;

(b) your breach of these Terms or of any applicable law;

(c) your User Content;

(d) your interaction with any Expert, User or third party, including any injury, damage or dispute arising from a Session;

(e) any misrepresentation by you, including as to your health, age or identity;

(f) any claim brought against Thrive by a third party as a result of your conduct.

22.2 This indemnity survives termination of your account and of these Terms.

23Insurance

23.1 Thrive does not provide any insurance cover to Users. No policy held by Thrive extends to you, to any Expert or to any Session.

23.2 You are responsible for arranging your own health, accident, travel and personal liability insurance as appropriate. Experts are separately required to hold their own professional insurance, but Thrive does not verify continuing cover and gives no assurance that any Expert is insured.

24Suspension and termination

24.1 You may close your account at any time through the app or by contacting ask@mythrive.ae.

24.2 We may suspend or terminate your account, remove Content and withdraw access immediately and without notice where we reasonably believe you have breached these Terms, where required by law, where your conduct poses a risk to another person or to the Platform, or where your account has been inactive for more than twenty-four (24) months.

24.3 We may also terminate for convenience on thirty (30) days' notice.

24.4 On termination: your licence to use the Platform ends, unredeemed Points are forfeited (except where termination is by us for convenience, in which case we will allow a reasonable redemption window), and outstanding payment obligations remain due.

24.5 Sections 6, 7, 12.2, 15, 17, 19, 20, 21, 22, 24.4, 25 and 26 survive termination.

25Governing law and disputes

25.1 These Terms and any dispute arising out of or in connection with them, including non-contractual disputes, are governed by the laws of the United Arab Emirates as applied in the Emirate of Sharjah.

25.2 Informal resolution first. Before commencing any proceedings you agree to contact us at ask@mythrive.ae and to attempt in good faith to resolve the matter for a period of not less than thirty (30) days.

25.3 If the matter is not resolved, the courts of Sharjah, United Arab Emirates shall have exclusive jurisdiction.

25.4 To the extent permitted by law, you agree to bring claims only in your individual capacity and not as a claimant or class member in any collective or representative proceeding.

26General

26.1 Entire agreement. These Terms, together with the Privacy Policy and any policies referenced in them, constitute the entire agreement between you and Thrive in respect of the Platform.

26.2 Severability. If any provision is held invalid or unenforceable, it shall be modified to the minimum extent necessary or severed, and the remaining provisions continue in full force.

26.3 No waiver. Our failure to enforce any provision is not a waiver of it.

26.4 Assignment. You may not assign or transfer your rights under these Terms. We may assign or novate these Terms to an affiliate or in connection with a merger, acquisition or sale of assets.
